Moderator: Henry Liao, Partner, Schinders Law

Biography: Mr. Liao worked in a Sino-foreign joint stock company where he acted as the in-house counsel and the deputy commander in chief for a variety of construction projects that the company was engaged in. Mr. Liao worked in a prestigious international law firm (Linklaters) where he represented clients (including multinational corporations and sovereign governments) in offerings and private placements, including: initial and secondary public offerings, private placements under Rule 144A and offshore under Regulation S; drafted and negotiated disclosure documents, securities underwriting agreements and ancillary documents (opinions, closing memorandum, certificates, etc.); represented clients in mergers and acquisitions, restructuring of non-performing assets and joint ventures; drafted and negotiated purchase agreements and certain ancillary documents. Mr. Liao worked in a famous multinational corporation (Procter & Gamble) in charge of joint venture investment, business transactions, advertising and intellectual property. He drafted and reviewed joint venture contracts, commercial contracts, technology transfer agreements; land use rights contracts and trademark licensing agreements. Mr. Liao coordinated legal issues among complicated corporate entities and advised management of potential legal issues. Mr. Liao has extensive experience in practicing U.S. and Chinese law and his clients include many well-known investment banks and multinational corporations. In 2004, Mr. Liao is one of the PRC attorneys recommended by The Asia Pacific Legal 500.
